Board of Directors

 

Leong Chee Keong, Independent Non-Executive Director, Chairman, a Malaysian, age 66, was appointed to the Board of Kejuruteraan Samudra Timur Berhad (“KSTB”) on 27 November 2007 and redesignaeted as Chairman on 11 February 2015. He is a member of the Audit Committee, Nomination Committee and Remuneration Committee of the Company.

After completing his secondary education, Mr. Leong  started his career with a printing equipment company as a Marketing Manager and was based in Singapore from 1970 to  1975. He completed his Marketing & Public Relations course at Stamford Executive Centre, Singapore. He was then attached to one (1) of the Japan’s largest trading houses, Kanematsu – Gosho Ltd. and held a senior management position from 1976 to 1986. He also completed his Management and Marketing training in Tokyo and Osaka, Japan in 1977. He was the Chief Executive Officer of Safeguards Oceanic Holdings Sdn. Bhd. and its group of companies from 1981 to 2007 before becoming Chairman of Safeguards Oceanic Holdings Sdn. Bhd. He is also a Managing Director of Prima Utama Holdings Sdn. Bhd. since 1988. He was an Executive Director of Gem Travel & Tours Sdn. Bhd. from 1994 to 2010. His present activities in various companies involved in trading, logistics, food & beverage and the hospitality industry.

Mr. Leong does not hold any directorship in other public companies.

Mr. Leong had attended all the Board meetings held during the financial year ended 30 June 2015. He had also attended the following trainings during the financial year:-

a)    Appreciation and Application of ASEAN Corporate Governance Scorecard; and

b)    Corporate Governance Effects on the Role of Directors.

 

Low Cheng Lai, independent Non-Executive Director, a Malaysia, age 50, was appointed to the Board of KSTB on 11 February 2015. He is the Chairman of the Audit Committee of the Company.

Mr. Low commenced his articleship in year 1985 and qualified as a Chartered Accountant with the accounting firm, Messrs. Hanafiah, Raslan & Mohamad (“HRM”). In year 1992, he left Messrs. HRM and worked with the MBF Group of Companies where he was in the property and hotel divisions. He was the General Manager of Finance of the property and hotel division when he left the MBF Group of Companies in year 2000. In year 2001, he joined an accounting practice firm and is currently the Principal of the firm. The said firm and its associates provide audit, tax, consulting and secretarial services to individual and private companies.

Mr. Low is Chartered Accountant of the Malaysia Institute of Accountants and a member of the Malaysia Institute of Certified Public Accountants and Chartered Tax Institute of Malaysia.

Mr. Low does not hold any directorship in other public companies.

Mr. Low had attended all the Board meetings held since his appointment for the financial year ended 30 June 2015. He had also attend the Mandatory Accreditation Programme and training on Corporate Governance Effects on the Role of Directors during the financial year.

 

Adnan Bin Ahmad, Independent Non-Executive Director, a Malaysian, age 67, was appointed to the Board of KSTB on 11 February 2015. He is the Chairman of Nomination Committee and a member of the Audit Committee and Remuneration Committee of the Company.

Encik Adnan graduated with a Diploma in industrial Relations. He started his career with Messrs. Hanifiah, Raslan & Mohamad Chartered Accountants (“HRM”) in year 1967. He then resigned from Messrs. HRM in year 1970 to join Safeguards G4S Sdn. Bhd. (formerly known as Safeguards Security Protection Sdn. Bhd.). He held various position in Safeguards  G4S Sdn. Bhd., namely Head of Human Resource & Administration, Head of Administration, and Regulatory and Premises where he was responsible for upgrading branch premises to meet banks’ security requirements. He also his retirement on 31 March 2014. Currently, he serves on the Board of several private limited companies.

Encik Adnan does not hold any directorship in other public companies.

Encik Adnan had attended all the Board meetings held since his appointment for the financial year ended 30 June 2015. He had also attended the following trainings during the financial year:-

a)    Mandatory Accreditation Programme; and

b)    Corporate Governance Effects on the Role of Directors.

 

Tengku Aniza Binti Tengku Ab. Hamid, Non-Independent Non- Executive Director, a Malaysian age 55, was appointed to the Board of KSTB on 1 December 2003. She is a member of the Nomination Committee of the Company.

Tengku Aniza is an experienced practising quantity surveyor and a member of the Institute of Surveyors of Malaysia since 1989. She is also affiliated with the Board of Quantity Surveyor of Malaysia. Currently, she sits on the Board of various private limited companies.

Tengku Aniza does not hold any directorship in other public companies.

Tengku Aniza attended most of the Board meetings held during the financial year ended 30 June 2015. She had also attended training on Corporate Governance Effects on the Role of Directors during the financial year.

 

Darmendran Kunaretnam, Non-Independent Executive Director, a Malaysian, age 54, was appointed to the Board of KSTB as Non-Executive Director on 26 February 2009 and was then re-designated as Executive Director on 24 August 2009. He was appointed as the Chief Financial Officer of KSTB and its group of subsidiaries before appointed to the Board. He is a member of the Remuneration Committee and Investment Committee of the Company.

Mr. Darmendran graduated from Universiti Kebangsaan Malaysia with a Business Degree majoring in Accounting. He is also a member of the Malaysian Institute of Accountants and Malaysian Institute of Certified Public Accountants. He spent ten (10) years as a Group Manager in the Audit Division of international public accounting firm from 1985 to 1995.

Mr. Darmendran joined Gold Bridge Engineering & Construction Berhad (“Gold Bridge”) as the General Manager of Finance and Corporate Planing Division in 1996 and successfully listed Gold Bridge on the Main Market of Bursa Malaysia Securities Berhad. Mr. Darnendran went on to restructure and list Safeguards Corporation Berhad (“Safeguards”) on Bursa Malaysia Securities Berhad in June 1997. He was later appointed to the board of Safeguards in August 1997. He later went and successfully privatised Safeguards in April 2007.

Other than that Company, Mr. Darmendran also serves on the Board of Rex Industry Berhad.

Mr. Darmendran had attended all the Board meetings held during the financial year ended 30 June 2015. He had also attended training on Corporate Governance Effects on the Role of Directors during the financial year.

 

Chee Cheng Chun, Non-Independent Executive Director, a Malaysian, age 31, was appointed to the Board of KSTB on 1 September 2012. He is a member of the Investment Committee of the Company.

Mr. Chee holds degree in Master of Engineering in Aeronautical Engineering from Imperial College, London. He was appointed as Business Development Manager before appointed to the Board of the Company.

Other than the Company, Mr. Chee also serves on the Board of Rex Industry Berhad.

Mr. Chee had attended all the Board meetings held during the financial year ended 30 June 2015. He had attended the following trainings during the financial year:-

a)    Appreciation & Application of ASEAN Corporate Governance Scorecard;

b)    Advocacy Sessions on Management Discussion and Analysis for Chief Executive Officers and Chief Financial Officers; and

c)    Corporate Governance Effects on the Role of Directors.
